PLEASE READ THESE TERMS OF SERVICE CAREFULLY. By accessing or using the apivoc.com website (the “Site”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree, do not use the Site.
These Terms govern your use of the Site only. Use of any ApiVoc product, application, or API (including services offered by Payor Systems, AmbiScript, and RTBV Noventa) is governed by a separate written agreement between ApiVoc and the customer, including, where applicable, a Business Associate Agreement. In the event of a conflict between these Terms and a separately executed agreement, the separately executed agreement controls with respect to its subject matter.
1. Who We Are
The Site is operated by ApiVoc LLC, a limited liability company organized under the laws of the State of Arizona, with offices at 20551 N. Pima Road, Suite 200, Scottsdale, AZ 85255. References to “ApiVoc,” “we,” “us,” or “our” include ApiVoc LLC and its subsidiaries Payor Systems, AmbiScript, and RTBV Noventa, as the context requires.
2. Eligibility
You must be at least 18 years old and able to form a binding contract under applicable law to use the Site. By using the Site, you represent and warrant that you meet these requirements. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to both you and the organization.
3. The Site
The Site provides general information about ApiVoc and its products, including ways to contact us, request a demo, subscribe to updates, and apply for employment. The Site is provided for informational purposes. Nothing on the Site constitutes a binding offer to provide services, and ApiVoc reserves the right to modify, suspend, or discontinue any portion of the Site at any time without notice.
4. Not Medical, Legal, or Professional Advice
Information on the Site is provided for general informational purposes only. It is not medical advice, legal advice, financial advice, or any other form of professional advice. The Site is not a substitute for consultation with a qualified professional. Do not rely on the Site to make decisions about medical care, benefits eligibility, prescription coverage, or any other matter requiring professional judgment.
5. Acceptable Use
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Site in any manner that violates any applicable federal, state, local, or international law or regulation
- Use the Site to transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
- Submit any Protected Health Information, Social Security numbers, financial account numbers, or other sensitive personal information through Site forms or email
- Attempt to gain unauthorized access to any portion of the Site, ApiVoc systems, or any associated networks
- Probe, scan, or test the vulnerability of the Site or circumvent any security or authentication measure
- Introduce viruses, trojans, worms, malware, or any other malicious code
- Use any robot, spider, scraper, or other automated means to access the Site, except for indexing by reputable search engines
- Use the Site to send unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, or pyramid schemes
- Impersonate or attempt to impersonate ApiVoc, an ApiVoc employee, another user, or any other person or entity
- Reverse engineer, decompile, or disassemble any portion of the Site, or attempt to derive source code from it
- Interfere with or disrupt the Site, the servers or networks that host it, or any user’s use of the Site
- Collect or harvest any information about other users of the Site
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this Section, including reporting violations to law enforcement.
6. Intellectual Property
The Site and its entire contents, features, and functionality — including all text, graphics, logos, images, video, audio, software, design, selection, and arrangement — are owned by ApiVoc, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
“ApiVoc,” “Payor Systems,” “AmbiScript,” “RTBV Noventa,” and related names, logos, product names, and service names are trademarks of ApiVoc LLC. You may not use these marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.
Subject to these Terms, ApiVoc grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Site, except as expressly permitted by these Terms or with our prior written consent.
7. User Submissions
If you submit information to us through the Site (such as a contact request, demo request, job application, or other communication), you grant ApiVoc a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, and display that information solely for the purposes of operating the Site, responding to you, and conducting our business. You represent and warrant that you have all necessary rights to submit the information and that the information does not infringe or violate the rights of any third party.
We do not want to receive confidential or proprietary information from you through the Site (other than information necessary to respond to your inquiry). Any information you submit will be treated as non-confidential, except as described in our Privacy Policy.
8. Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and share information from Site visitors. The Privacy Policy is incorporated into these Terms by reference.
9. Third-Party Links and Content
The Site may contain links to third-party websites, services, or resources that are not owned or controlled by ApiVoc. We provide these links for convenience only. We do not endorse and are not responsible for the content, products, services, or practices of any third party. Your use of any third-party website, service, or resource is at your own risk and subject to that third party’s terms and policies.
10. Disclaimer of Warranties
THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, APIVOC AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, ApiVoc does not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that the information on the Site will be accurate, complete, current, or reliable. Any reliance you place on Site content is strictly at your own risk.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL APIVOC OR ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE.
IN NO EVENT WILL THE TOTAL LIABILITY OF APIVOC ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED AND EVEN IF APIVOC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply to the maximum extent permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless ApiVoc, its subsidiaries, affiliates, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site, including any use of Site content other than as expressly authorized.
13. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Arizona, without regard to its conflict-of-laws provisions. Any legal action or proceeding arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction and venue of those courts.
14. Termination
We may suspend or terminate your access to the Site at any time, with or without cause, with or without notice, and without liability. Upon termination, your right to use the Site immediately ceases. Sections of these Terms that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, and governing law.
15. Changes to These Terms
We may modify these Terms at any time. When we do, we will update the “Last Updated” date above. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. If a change is material, we will use reasonable efforts to provide additional notice (such as a banner on the Site).
16. Miscellaneous
Entire agreement. These Terms, together with the Privacy Policy and any other policies referenced on the Site, constitute the entire agreement between you and ApiVoc regarding your use of the Site and supersede any prior agreements between you and ApiVoc on that subject.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
Headings. Section headings are for convenience only and do not affect interpretation.
